CORPORATION, DISTRICT, AND LEAGUE RULES AND
REGULATIONS OF
LITTLE MISS KICKBALL INTERNATIONAL, INC.
NOTE - Each league also maintains a set of
bylaws by which they operate. These can
normally be found on the individual league
web site.
All League Bylaws should address the topics
shown in this
file.
A FAQ from the Texas Secretary of State is
found
here. From this site, Leagues can also
submit forms to Incorporate. The entire
Texas regulation governing the formation of
non-profit corporations is found
here. One
of the major reasons to incorporate a local
league is to insulate board members from
liability. The statute says:
Art. 1396-2.22. Officer Liability (a) An
officer is not liable to the corporation or
any other person for an action taken or
omission made by the officer in the person's
capacity as an officer unless the officer's
conduct was not exercised: (1) in good
faith; (2) with ordinary care; and (3) in a
manner the officer reasonably believes to be
in the best interest of the corporation. (b)
This article shall not affect the liability
of the corporation for an act or omission of
the officer.
